These Terms of Use (“Terms”) govern your access to and use of kellybusinessadvisors.com (the “Site”), operated by Kelly Business Advisors (“KBA,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

No Professional Advice

The Site provides general information about merger, acquisition, and business advisory services. Content on the Site — including the Instant Valuation Estimate tool — is for informational purposes only and does not constitute legal, tax, accounting, financial, or professional advice. No attorney-client, fiduciary, or advisory relationship is formed by accessing the Site or using any tool on it. Engagement of KBA’s advisory services requires a separate written engagement agreement.

Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else’s use of the Site. You agree not to:

• Use the Site to transmit any unlawful, harassing, defamatory, or otherwise objectionable material.
• Attempt to gain unauthorized access to the Site, our systems, or any related networks.

ESTIMATES AND VALUATIONS GENERATED BY THE SITE ARE GENERAL APPROXIMATIONS BASED ON THE INPUTS YOU PROVIDE AND SHOULD NOT BE RELIED ON FOR TRANSACTIONAL DECISIONS.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KBA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE — EVEN IF KBA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. KBA’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

Indemnification

You agree to indemnify and hold KBA harmless from any claim, demand, loss, or damage — including reasonable attorneys’ fees — arising out of your breach of these Terms or your misuse of the Site.

Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict of laws principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Brown County, Wisconsin, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. The “Effective” date at the top reflects the most recent revision. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
